Biography

Alan M. Hoffman has had more than 50 years of diverse experience in corporate and securities practice, with special expertise in the investment management field.  His experience in that field includes transactional, corporate and regulatory matters involving both private investment vehicles such as hedge funds, private equity funds and venture capital funds and public investment vehicles such as mutual funds, closed-end investment companies and business development companies.  He also has represented investment advisers and broker-dealers in a variety of matters relating to their registration and regulation under federal and state law.

Mr. Hoffman has been counsel to entrepreneurs, public companies, investment bankers and venture capitalists in a wide variety of corporate, financial and securities transactions. These include the structure and finance of new business ventures, private placements, initial public offerings, mergers and acquisitions and contests for corporate control.

In 1970, Mr. Hoffman was a founding partner of Shereff, Friedman, Hoffman & Goodman, where he helped design investment products and formed new mutual funds for several well-known investment management organizations.  During his 20 year tenure with that firm, he served as legal counsel to special reviewers and independent consultants appointed or approved to examine and report to the Securities and Exchange Commission on the investment company and investment advisory operations of three prominent securities firms then under regulatory scrutiny.  Before joining McLaughlin & Stern as counsel, he spent six years with Proskauer Rose and five years with K&L Gates.

Mr. Hoffman authored the last two editions of Israels on Corporate Practice (Practising Law Institute) and has lectured on securities matters for PLI and other organizations.
